Common use of Representation by the Banks Clause in Contracts

Representation by the Banks. Each Bank represents that its present intent is that it will acquire the A Notes drawn to its order for its own account and that each such A Note is being acquired for the purpose of investment and not with a view to distribution or resale thereof, subject, nevertheless, to the necessity that such Bank remain in control at all times of the disposition of property held by it for its own account.

Representation by the Banks. Each Bank of the Banks represents that it is the present intention of such Bank to acquire its present intent is that it will acquire the A Notes drawn to its order for its own account and that each such A Note is being acquired or for the purpose account of investment its Affiliates and not with a view to the distribution or resale sale thereof, subject, nevertheless, nevertheless to the necessity that such Bank remain in control at all times of the disposition of property held by it for its own account; it being understood that the foregoing representations shall not affect the characterization of the Revolving Credit Loans as commercial lending transactions.
