Common use of Representation by Manager Clause in Contracts

Representation by Manager. Manager represents and warrants to RoseStar that by entering into and performing its obligations under this Agreement, Manager is not violating and will not violate any contractual, fiduciary or legal obligations or responsibilities to which it is or is likely to become subject, nor is it subject to any contractual, fiduciary or legal obligations or responsibilities which may reasonably be expected to interfere with its ability to perform its obligations under this Agreement.

Representation by Manager. Manager represents and warrants to RoseStar Southwest that by entering into and performing its obligations under this Agreement, Manager is not violating and will not violate any contractual, fiduciary or legal obligations or responsibilities to which it is or is likely to become subject, nor is it subject to any contractual, fiduciary or legal obligations or responsibilities which may reasonably be expected to interfere with its ability to perform its obligations under this Agreement.
