Representation by Manager Clause Samples
The 'Representation by Manager' clause establishes that the manager is authorized to act on behalf of the company or another party in specified matters. This typically means the manager can make decisions, enter into agreements, or communicate with third parties as the official representative. For example, the manager might be empowered to sign contracts, negotiate terms, or handle regulatory filings. The core function of this clause is to clarify the manager's authority, ensuring that actions taken by the manager are legally binding and recognized, thereby reducing ambiguity and potential disputes over who can represent the entity.
