Representation and Warranty of Employee. The Employee represents and warrants that neither the execution nor the delivery of this Agreement, nor the employment of the Employee by the Surviving Corporation will result in the breach of any agreement to which the Employee is a party, except where any such breach would not have a material adverse effect on the business, financial condition or operations of the Surviving Corporation.
