REPRESENTATION AND WARRANTIES OF SELLER AND DISCLAIMER. 11.1 Seller's warranties and representations shall survive the Closing and delivery of the deed, and, unless otherwise noted herein, are true, material and relied upon by Buyer and Broker(s) in all respects, both as of the Date of Agreement, and as of the date of Closing. Seller hereby makes the following warranties and representations to Buyer and Broker(s):
REPRESENTATION AND WARRANTIES OF SELLER AND DISCLAIMER. The term "Seller's actual knowledge," or similar phrases, as used in the Agreement shall refer to a fact or circumstance within the present actual knowledge of Xxxxxxx Xxxxxx as of the Date of Agreement, and it shall not be deemed to include any fact or circumstance not presently known even if discoverable upon investigation or inquiry, diligent or otherwise.
