Replacement of Scheduling Coordinator Clause Samples
Replacement of Scheduling Coordinator. (A) At least ninety (90) days prior to the end of the Delivery Term, or as soon as practicable before the date of any termination of this Agreement prior to the end of the Delivery Term, Seller shall take all actions necessary to terminate the designation of Buyer or the Third-Party SC, as applicable, as Seller’s SC. These actions include (I) submitting to the CAISO a designation of a new SC for Seller to replace Buyer or the Third-Party SC (as applicable); (II) causing the newly-designated SC to submit a letter to the CAISO accepting the designation; and (III) informing Buyer and the Third-Party SC (if applicable) of the last date on which Buyer or the Third-Party SC (as applicable) will be Seller’s SC.
(B) Buyer shall submit, or if applicable cause the Third-Party SC to submit, a letter to the CAISO identifying the date on which Buyer (or Third-Party SC, as applicable) resigns as Seller’s SC on the first to occur of either (I) thirty (30) days prior to the end of the Delivery Term or (II) the date of any early termination of this Agreement.

At least forty-five (45) days prior to the end of the Facility Term, or as soon as practicable before the date of any termination of this Power Purchase Agreement prior to the end of the Facility Term, Seller shall take all actions necessary to terminate the designation of SCE as Seller’s Scheduling Coordinator. These actions include, but shall not be limited to:
(1) Seller shall submit to the ISO a designation of a new Scheduling Coordinator for Seller to replace SCE;
(2) Seller shall cause the newly designated Scheduling Coordinator to submit a letter to the ISO accepting the designation; and
(3) Seller shall inform SCE of the last date on which SCE will be Seller’s Scheduling Coordinator.
Replacement of Scheduling Coordinator. At least forty-five (45) days before the end of the Term, or as soon as practicable before the date of any termination of this Agreement before the end of the Term, Seller shall take all actions necessary to terminate the designation of SCE as Seller’s Scheduling Coordinator. These actions include the following:
(i) Seller shall submit to the CAISO a designation of a new Scheduling Coordinator for Seller to replace SCE;
(ii) Seller shall cause the newly designated Scheduling Coordinator to submit a letter to the CAISO accepting the designation; and
(iii) Seller shall inform SCE of the last date on which SCE will be Seller’s Scheduling Coordinator.
Replacement of Scheduling Coordinator. If Buyer should desire during the Delivery Term to replace Seller (or its designee) as the Facility Scheduling Coordinator, then the Parties agree to cooperate in good faith to endeavor to determine the necessary amendments to this Agreement consistent with the provisions hereof to enable Buyer to become the Facility Scheduling Coordinator and, once mutually agreed, to effectuate such substitution.
Replacement of Scheduling Coordinator. At least forty-five (45) days prior to the end of the Delivery Term, or as soon as practicable before the date of any termination of this Agreement prior to the end of the Delivery Term, Seller shall take all actions necessary to terminate the designation of SCE as Seller’s Scheduling Coordinator if SCE has been Seller’s Scheduling Coordinator at any point during the Delivery Term. These actions may include the following:
(i) Seller shall submit to the CAISO a designation of a new Scheduling Coordinator for Seller to replace SCE;
(ii) Seller shall cause the newly designated Scheduling Coordinator to submit a letter to the CAISO accepting the designation; and
(iii) Seller shall inform SCE of the last date on which SCE will be Seller’s Scheduling Coordinator.
