Common use of Replacement of Fixtures and Personalty Clause in Contracts

Replacement of Fixtures and Personalty. Except as permitted by the Credit Agreement, Mortgagor shall not, without the prior written consent of Mortgagee, not to be unreasonably withheld, permit any of the Fixtures or Personalty to be removed at any time from the Land or Improvements, unless the removed item is removed temporarily for maintenance and repair or, if removed permanently, is immaterial or is obsolete.

Except as permitted by the Credit Agreement, Mortgagor shall not, without the prior written consent of Mortgagee, Mortgagee (which shall not to be unreasonably withheld, delayed or conditioned), permit any of the Fixtures or Personalty owned or leased by Mortgagor to be removed at any time from the Land or Improvements, unless (i) the removed item is removed temporarily for maintenance and repair oror repair, if (ii) the removed permanently, is immaterial or item is obsolete, worn out or no longer useful property or (iii) the removal would not violate the terms of the Credit Agreement.
