Common use of Renewal and Extension Clause in Contracts

Renewal and Extension. The Indebtedness arising under this Agreement is a renewal, extension and restatement on revised terms of (but not an extinguishment or novation of) the Existing Credit Agreement and, from and after the date hereof, the terms and provisions of the Existing Credit Agreement shall be superseded by the terms and provisions of this Agreement. Borrower hereby agrees that (i) the Indebtedness evidenced by the Existing Credit Agreement, all accrued and unpaid interest thereon, and all accrued and unpaid fees under the Existing Credit Agreement shall be deemed to be Indebtedness of Borrower outstanding under and governed by this Agreement and (ii) all Liens securing the Indebtedness evidenced by the Existing Credit Agreement shall continue in full force and effect to secure the Secured Obligations.

Borrower hereby agrees that (i) the Indebtedness evidenced by the Existing Credit AgreementPrior Indebtedness, all accrued and unpaid interest thereon, and all accrued and unpaid fees under the Existing Prior Credit Agreement Documents shall be deemed to be Indebtedness of Borrower outstanding under and governed by this Agreement and (ii) all Liens securing the Prior Indebtedness evidenced by the Existing Credit Agreement shall continue in full force and effect to secure the Secured Obligations.
