Common use of Reliance on Authority of Persons Signing Agreement Clause in Contracts

Reliance on Authority of Persons Signing Agreement. If a Member is an Entity, the Company (a) is not required to determine the authority of the Person signing this Agreement to make any commitment or undertaking on behalf of such Entity or to determine any fact or circumstance bearing upon the existence of the authority of such Person; (b) is not required to see to the application or distribution of proceeds paid or credited to Persons signing this Agreement on behalf of such Entity; (c) is entitled to rely on the authority of the Person signing this Agreement with respect to the giving of consent on behalf of such Entity in connection with any matter for which consent is permitted or required under this Agreement; and (d) is entitled to rely on the authority of any general member, joint venturer, partner, manager, co-trustee or successor trustee, or president or vice president (as the case may be), of any such Entity the same as if such Person were the Person originally signing this Agreement on behalf of such Entity.

If a Member Partner is an Entitya Person other than a natural person, the Company Partnership (ai) is not required to determine the authority of the Person signing this Agreement to make any commitment or undertaking on behalf of such Entity entity or to determine any fact or circumstance bearing upon the existence of the authority of such Person; (bii) is not required to see to the application or distribution of proceeds paid or credited to Persons signing this Agreement on behalf of such Entityentity; (ciii) is entitled to rely on the authority of the Person signing this Agreement with respect to the giving of consent on behalf of such Entity entity in connection with any matter for which consent is permitted or required under this Agreement; and (div) is entitled to rely on the authority of any general memberpartner, joint venturer, partner, manager, co-trustee co- or successor trustee, or president or vice president (as the case may be), of any such Entity entity the same as if such Person were the Person originally signing this Agreement on behalf of such Entityentity.

If a Member Partner is an Entitya trust (with or without disclosed beneficiaries), partnership, limited partnership, joint venture, corporation, or any entity other than a natural person, the Company Partnership and the General Partner (ai) is are not required to determine the authority of the Person person signing this Agreement to make any commitment or undertaking on behalf of such Entity entity or to determine any fact or circumstance bearing upon the existence of the authority of such Personperson; (bii) is are not required to see to the application or distribution of proceeds paid or credited to Persons persons signing this Agreement on behalf of such Entityentity; (ciii) is are entitled to rely on the authority of the Person person signing this Agreement with respect to the giving of consent on behalf of such Entity entity in connection with any matter for which consent is permitted or required under this Agreement; and (div) is are entitled to rely on the authority of any general memberpartner, joint venturer, partner, manager, co-trustee or successor trustee, or president or vice president (as the case may be), of any such Entity entity the same as if such Person person were the Person person originally signing this Agreement on behalf of such Entityentity.
