Common use of Reliance on Amendments Clause in Contracts

Reliance on Amendments. Citi may rely on any amendments to or changes in any of the documents and other items to be provided by the Company pursuant to Sections 19 and 21 of this Agreement and the indemnification provisions of Section 10 hereof are applicable to Citi's reasonable reliance upon such amendments and/or changes. Although Citi is authorized to rely on the above-mentioned amendments to and changes in the documents and other items to be provided pursuant to Sections 19 and 21 of this Agreement, in the event the same relate to services provided by Citi hereunder, Citi shall have no liability for failure to comply with or take any action in conformity with such amendments or changes except as provided in Section 21 of this Agreement or as otherwise agreed upon in writing.

Although Citi is authorized to rely on the above-mentioned amendments to and changes in the documents and other items to be provided pursuant to Sections 19 18 and 21 20 of this Agreement, in the event the same relate to services provided by Citi hereunder, Citi shall have no liability for failure to comply with or take any action in conformity with such amendments or changes except as provided in Section 21 20 of this Agreement or as otherwise agreed upon in writing.

Reliance on Amendments. Citi may rely on any amendments to or changes in any of the documents and other items to be provided by the Company pursuant to Sections 19 18 and 21 20 of this Agreement and and, subject to the indemnification provisions of Section 10 hereof are applicable to Citi's 6 of this Agreement, the Company hereby indemnifies and holds harmless Citi from and against any and all claims, demands, actions, suits, judgments, liabilities, losses, damages, costs, charges, counsel fees and other expenses of every nature and character which may result from actions or omissions on the part of Citi in reasonable reliance upon such amendments and/or changes. Although Citi is authorized to rely on the above-mentioned amendments to and changes in the documents and other items to be provided pursuant to Sections 19 18 and 21 20 of this Agreement, in the event the same relate to services provided by Citi hereunderunder this Agreement, Citi shall have no liability for failure to comply with or take any action in conformity with such amendments or changes except as provided in Section 21 unless the Company first obtains Citi’s written consent to and approval of this Agreement such amendments or as otherwise agreed upon in writingchanges.
