Relationship of Master Servicer to Issuer and the Indenture Trustee. The relationship of the Master Servicer (and of any successor to the Master Servicer as servicer under this Agreement) to the Issuer and the Indenture Trustee under this Agreement is intended by the parties hereto to be that of an independent contractor and not of a joint venturer, agent or partner of the Issuer or the Indenture Trustee.
