Common use of Regulatory Consents and Approvals Clause in Contracts

Regulatory Consents and Approvals. (a) All consents, approvals and actions of, filings with, and notices to any Governmental Authority set forth in Section 8.4 of the Seller Disclosure Schedule and necessary to permit the Seller and the Buyer to perform their obligations under this Agreement and to consummate the transactions contemplated hereby shall have been duly obtained, made, or given and shall be in full force and effect, and all terminations or expirations of waiting periods imposed by any Governmental Authority under the HSR Act necessary for the consummation of the transactions contemplated by this Agreement shall have occurred.

Regulatory Consents and Approvals. (a) All consents, approvals and actions of, filings with, with and notices to any Governmental or Regulatory Authority set forth in Section 8.4 of the Seller Disclosure Schedule and necessary to permit the Seller Buyer, Sellers and the Buyer Harcke to perform their respective obligations under this Agreement and to consummate the transactions purchase and sale of the Acquired Assets contemplated hereby as set forth on SCHEDULE 9.05 shall have been duly obtained, made, made or given and shall be in full force and effect, and all terminations or expirations of waiting periods imposed by any Governmental or Regulatory Authority under the HSR Act necessary for the consummation of the transactions contemplated by this Agreement shall have occurred.

(a) All consents, approvals and actions of, filings with, and notices to any Governmental Authority set forth in Section 8.4 7.4 of the Seller Buyer Disclosure Schedule and necessary to permit the Seller and the Buyer to perform their obligations under this Agreement and to consummate the transactions contemplated hereby shall have been duly obtained, made, or given and shall be in full force and effect, and all terminations or expirations of waiting periods imposed by any Governmental Authority under the HSR Act necessary for the consummation of the transactions contemplated by this Agreement shall have occurred.

(a) All consents, approvals and actions of, filings with, with and notices to any Governmental or Regulatory Authority set forth in Section 8.4 of the Seller Disclosure Schedule and necessary to permit the Seller and the Buyer Purchaser to perform their obligations under this Agreement and the Operative Agreements and to consummate the transactions contemplated hereby and thereby shall have been duly obtained, made, made or given and shall be in full force and effect, and all terminations or expirations of waiting periods imposed by any Governmental or Regulatory Authority under the HSR Act necessary for the consummation of the transactions contemplated by this Agreement and the Operative Agreements, including under the HSR Act, shall have occurred.

Regulatory Consents and Approvals. (a) All consents, approvals and actions of, filings with, with and notices to any Governmental or Regulatory Authority set forth in Section 8.4 necessary to permit Purchaser and each of the Seller Disclosure Schedule and necessary to permit the Seller and the Buyer Parties to perform their respective obligations under this Agreement and to consummate the transactions contemplated hereby hereby, shall have been duly obtained, mademade or given, or given and shall be in full force and effect, effect and all terminations or expirations of waiting periods imposed by any Governmental or Regulatory Authority under the HSR Act necessary for the consummation of the transactions contemplated by this Agreement and the Ancillary Agreements, including under the HSR Act, shall have occurred.
