Regulation AB Compliance; Intent of Parties; Reasonableness Clause Samples

The 'Regulation AB Compliance; Intent of Parties; Reasonableness' clause ensures that the parties to an agreement adhere to the disclosure and reporting requirements set forth under Regulation AB, which governs asset-backed securities. This clause typically outlines the parties' mutual understanding and intent to comply with these regulations, and may require the provision of information or cooperation necessary for regulatory filings. By establishing a standard of reasonableness in fulfilling these obligations, the clause helps prevent disputes over compliance expectations and ensures that both parties are aligned in meeting legal and regulatory standards.
