Common use of Registration Statement Form Clause in Contracts

Registration Statement Form. Registrations under Section 1(a) shall be on such appropriate registration form of the SEC as shall permit the disposition of such Registrable Securities in accordance with the intended method or methods of disposition specified in the request for such registration and as shall be permitted under the Securities Act.

Registration Statement Form. Registrations under this Section 1(a) 2.1 shall be on such appropriate registration form of the SEC (i) as shall permit be selected by the disposition Initiating Holders holding a majority of such the Registrable Securities for which registration was requested in the Request, and (ii) which shall be available for the sale of Registrable Securities in accordance with the intended method or methods of disposition specified in the request requests for registration. The Company agrees to include in any such registration and as Registration Statement all information which any selling Investor Holder, upon advice of counsel, shall be permitted under the Securities Actreasonably request.

Registrations under Section 1(a2.1(a) shall be on such appropriate registration form of the SEC Commission (i) as shall be selected by Cendant and (ii) as shall permit the disposition of such Registrable Securities in accordance with the intended method or methods of disposition specified in the request for such registration and as shall be permitted under the Securities Actregistration.
