Executive understands and acknowledges that the offering of the Shares will not be registered under the Securities Act of 1933, as amended (the "Securities Act") on the grounds that the sale is exempt pursuant to Section 4(2) of the Securities Act, and that the Company's reliance on such exemption is predicated on Executive's representations set forth herein.
