Common use of Refunds Upon Termination Clause in Contracts

Refunds Upon Termination. If Customer terminates this Agreement or any Subscription for cause in accordance with Section 11.3, Devolutions shall refund any prepaid Fees covering the unused portion of the terminated Subscription Period as of the effective date of termination. If Customer terminates for convenience or for any reason other than Devolutions’ material breach, it shall not be entitled to any refund, credit, or reimbursement of prepaid Fees. In the event Devolutions terminates this Agreement or any Subscription for cause, Customer shall not be entitled to any refund, and all outstanding Fees for the remainder of the applicable Subscription Period shall become immediately due and payable.
