Refractions Clause Samples
The Refractions clause defines how changes in the interpretation or application of laws, regulations, or contractual terms affect the parties' obligations under the agreement. Typically, this clause addresses situations where a court decision, regulatory update, or authoritative guidance alters the meaning or enforceability of certain provisions. For example, if a new law changes the tax treatment of a transaction covered by the contract, the Refractions clause may specify how the parties will adjust their obligations to remain compliant.
