Reference to Credit Agreement; Certain Rules of Construction; Definitions. Reference is made to the Amended and Restated Credit Agreement dated as of the date hereof, as from time to time in effect (the "Credit Agreement"), among the Company, its Subsidiaries from time to time party thereto, the Lenders and the Agent. Capitalized terms defined in the Credit Agreement and not otherwise defined herein are used herein with the meanings so defined. Certain other capitalized terms are used in this Agreement as specifically defined in this Section 1 as follows:
