REFERENCE LABORATORY SERVICES. Laboratory services billed under Place of Service 81 are not reimbursable under this Agreement.

REFERENCE LABORATORY SERVICES. LAB shall provide reference clinical laboratory diagnostic testing services identified on LAB’s website (▇▇▇▇▇://▇▇▇▇.▇▇▇▇▇▇▇.▇▇▇/) and incorporated herein by reference (the “Laboratory Services”). Unless stated otherwise, ISU shall provide any personnel, facilities and equipment required for the Services to be completed. LAB shall obtain and maintain CLIA certification. LAB shall perform all Laboratory Services in accordance with the requirements of CLIA. Information regarding Laboratory Services, fees, and other operational LAB updates are posted on LAB’s website and are subject to change. Nothing in this Agreement requires the CLIENT to submit samples to the LAB for Laboratory Services. Similarly, nothing in this Agreement requires the LAB to accept samples from the CLIENT or provide Laboratory Services to the CLIENT.

REFERENCE LABORATORY SERVICES. With respect to each use of a Program Product to provide Reference Laboratory Services by Newco to a third party, Newco shall pay to BD a royalty [*****].

REFERENCE LABORATORY SERVICES. With respect to the provision of any Reference Laboratory Service by Newco and its Affiliates and sublicensees to a third party using any Program Product which has received FDA Approval as a Staging Product, Newco shall pay to BD a royalty equal to [*****] of the Net Sales for such Reference Laboratory Service. With respect to the provision of any Reference Laboratory Service by BD and its Affiliates and sublicensees to a third party using any Program Product which has received FDA Approval as a Staging Product and which is covered by Newco Program Intellectual Property or TriPath Program Intellectual Property, BD shall pay to Newco or TriPath a royalty equal to [*****] of the Net Sales for such Reference Laboratory Service. It is understood and agreed that Newco shall not be obligated to pay any royalty to BD with respect to the Net Sales relating to the ------------ CONFIDENTIAL MATERIALS FILED SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION.
