Common use of Reference and Background Checks Clause in Contracts

Reference and Background Checks. Due to the confidential nature of the information and materials which will be accessible to Contractor, AOC shall have the right to conduct reference checks and background checks on Contractor Staff to be used to provide the Services. AOC reserves the right in its sole discretion to reject any proposed Staff as a result of information produced by such reference checks or additional sources of information. Contractor agrees that, as a requirement of this Contract, Contractor, and any employee, assistant, agent, or Subcontractor of Contractor completing work under this Contract, may be required to provide results of a criminal background investigation. Such an investigation may include, but not be limited to, fingerprinting and criminal history records checks. Contractor further agrees to cooperate fully with AOC in completion of this requirement. Results of the investigation and/or failure of Contractor to cooperate fully may be grounds for termination of this Contract.
