Common use of Reduction in Consideration Clause in Contracts

Reduction in Consideration. If any amount is paid by the Seller in respect of a breach of any of the Warranties, the amount of such payment shall be deemed to constitute a reduction in the consideration payable under this agreement for the Shares to which the breach most relates.
