Common use of RECORDS MAINTENANCE Clause in Contracts

RECORDS MAINTENANCE. The parties to this Agreement shall each maintain books, records, documents and other evidence which sufficiently and properly reflect all direct and indirect costs expended by either party in the performance of the services described herein. These records shall be subject to inspection, review or audit by personnel of both parties, other personnel duly authorized by either party, the Office of the State Auditor, and federal officials so authorized by law. All books, records, documents, and other material relevant to this Agreement will be retained for six (6) years after expiration and the Office of the State Auditor, federal auditors, and any persons duly authorized by the parties shall have full access and the right to examine any of these materials during this period. In the event a request for or make available this material order to any third parties without first giving notice release Confidential Information is made to either Party pursuant to the Washington State Public Records Act, other law, regulation, or government or court order, the Party receiving the Confidential information (Receiving Party) shall, prior to disclosure of said Confidential Information, provide the Party furnishing party the Confidential Information (the Owner) with ten (10) days written notice of the impending release thereof so as to allow the Owner the option of negotiating proprietary protection for the information, seeking a protection order, approving release of the information or defending any legal action that is brought to enforce such request. In such event, the Owner shall bear its costs of the litigation, any damages or attorneys' fees that may be awarded and giving reimburse the Receiving Party for any out-of-pocket expenses incurred in providing such support to the Owner. If the Owner has not obtained a protection order, negotiated protection for the information, or taken other action within the ten (10) day period, the Receiving Party may disclose the Confidential Information without further liability. In no event shall the Receiving Party be liable for any release which it a reasonable opportunity to respond. Each party will utilize reasonable security procedures and protections to assure that records and documents provided is either compelled by the other party are not erroneously disclosed to third parties. RESPONSIBILITIES OF THE PARTIES Each party to this Agreement hereby assumes responsibility for claims and/or damages to persons and/or property resulting from any act process of law, or omission on the part of itself, its employees, its officerswhere notice was provided, and its agents. Each party will utilize reasonable security procedures and protections to assure that records and documents provided by the other party are not erroneously disclosed to third parties. RESPONSIBILITIES OF THE PARTIES Each party to this Agreement hereby assumes responsibility for claims and/or damages to persons and/or property resulting from any act AGREEMENT MAINTENANCE The work described herein shall be performed under the coordination of the Program Manager of each of the parties as provided below, or omission on the part of itselftheir successors, its employees, its officers, who will provide assistance and its agents. Neither party assumes any responsibility guidance to the other party necessary for the consequences performance of any claim, act or omission of any person, agency, firm, or corporation not a party to this Agreement. RIGHTS IN DATA Copyright HOLD HARMLESS Arlington Public Schools shall defend, protect and hold harmless the Marysville School District #25, or any employees thereof, from and against all suits or actions arising from jobs performed by the Printshop under this Agreement, which suits or actions allege libel or slander, injury to person or property, violation of a right of confidentiality, or use or reproduction of material of any kind which constitutes an infringement of any copyright, patent trademark or trade name. INDEPENDENT CAPACITY The employees or agents of each party who are engaged in all material created by NWESD 189 and paid for by OSPI as part the performance of this Agreement shall continue to be the property employees or agents of the State of Washington. Both OSPI that party and NWESD 189 may use these materials, and permit others to use them, shall not be considered for any purpose consistent with their respective missions as agencies to be employees or agents of the State other party.
