Common use of Record-Keeping and Disclosure Clause in Contracts

Record-Keeping and Disclosure. You further agree to keep such records with respect to each investor, his suitability and the amount of Interests sold and retain such records for such period of time as may be required by the SEC, any State securities commission, FINRA or by the Partnership. You agree to obtain and to forward to the Partnership any representation letters or related documents, if any, as are set forth in the Subscription Agreement which is Exhibit C to the Prospectus.
