Common use of Receipt of File Clause in Contracts

Receipt of File. You agree to be solely liable for, and the Credit Union shall not have any liability whatsoever to you for, any File or the Images or other information contained therein that are not received by the Credit Union or for any File or the Images or other information contained therein that are intercepted or altered by an unauthorized third party. You agree that Credit Union has no obligation to accept a File and, therefore, may reject any File or Images or other information contained therein submitted by you. The Credit Union will notify you of the rejection of a File, either in writing or via email, of the Images or other information contained therein. The Credit Union shall have liability to you for the rejection of a File or the Images or other information contained therein or for the failure to notify you of such rejection. Upon receipt of a File submitted by you, the Credit Union may examine such File and the Images and other information contained therein to ensure that you have complied with this Agreement and followed the instructions. If Credit Union determines that you have not complied with this Agreement or followed the instructions or if errors exist in the Images or other information contained in the File, Credit Union, in its sole discretion, may either reject the File or elect to correct the error and accept and process the corrected File (a “Corrected File”). As a form of correction, the Credit Union may credit your Account for the full amount of the deposit and make any necessary adjustments to the Account to correct the error. Credit Union may, at its option, also perform a risk management analysis of one or my Files submitted by you to detect potentially fraudulent Checks, and, in its sole discretion, the Credit Union may reject any such File, or the images or other information contained therein. If after examination of a File and the Images and other information contained therein, the Credit Union determines that you have complied with this Agreement and processed and transmitted the File in accordance herewith and with instructions, the File balanced and the Images meet the requirements of Sections 4 and 7 of this Agreement, then the Credit Union shall accept the File (an “Accepted File”) for deposit to your Account. Upon acceptance of the File, Credit Union shall electronically notify you of receipt and acceptance of the Accepted File for deposit. Notwithstanding, the fact that the Credit Union has accepted a File for deposit, any credit made to your Account shall be provisional, and you shall remain liable to Credit Union for any errors, inaccuracies, breach of warranties and any other loss sustained by, or claim made against, the Credit Union.

Notwithstanding, Notwithstanding the fact that the Credit Union has we have accepted a File for deposit, any credit made to your Account shall be provisional, and you shall remain liable to Credit Union us for any errors, inaccuracies, breach of warranties and any other loss sustained by, or claim made against, us. For the Credit Unionpurpose of determining availability of funds, we may hold funds for the period of time permitted by our funds availability disclosure.

Credit Union We may, at its our option, also perform a risk management analysis of one or my more Files submitted by you to detect potentially fraudulent Checks, and, in its our sole discretion, the Credit Union we may reject any such File, File or the images Images or other information contained therein. If after examination of a File and the Images and other information contained therein, the Credit Union determines we determine that you have complied with this Agreement and processed and transmitted the File in accordance herewith and with instructionsthe User Guide, the File is balanced and the Images meet the requirements of Sections 4 and 7 Section 6 of this Agreement, then the Credit Union we shall accept the File (an “Accepted File”) for deposit to your Account. Upon acceptance of the File, Credit Union we shall electronically notify you of receipt and acceptance of the Accepted File for deposit. Notwithstanding, Notwithstanding the fact that the Credit Union has we have accepted a File for deposit, any credit made to your Account shall be provisional, and you shall remain liable to Credit Union us for any errors, inaccuracies, breach of warranties and any other loss sustained by, or claim made against, the Credit Unionus.

Receipt of File. You agree to Member agrees that Member shall be solely liable for, and the Credit Union Nusenda shall not have any liability whatsoever to you Member for, any File or the Images or other information contained therein that are not received by the Credit Union Nusenda or for any File or the Images or other information contained therein that are intercepted or altered by an unauthorized third party. You agree Member agrees that Credit Union Nusenda has no obligation to accept a File and, therefore, may reject any File or the Images or other information contained therein submitted by youMember. The Credit Union will Nusenda has no obligation to notify you Member of the rejection of a File, either in writing File or via email, of the Images or other information contained therein. The Credit Union Nusenda shall have no liability to you Member for the rejection of a File or the Images or other information contained therein or for the failure to notify you Member of such rejection. Upon receipt of a File submitted by youMember, the Credit Union Nusenda may examine such File and the Images and other information contained therein to ensure that you have Member has complied with this Agreement and followed the instructionsProcedures. If Credit Union Nusenda determines that you have Member has not complied with this Agreement or followed the instructions Procedures or if errors exist in the Images or other information contained in the File, Credit UnionNusenda, in its sole discretion, may either reject the File or elect to correct the error and accept and process the corrected File (a “Corrected File”). As a form of correction, the Credit Union Nusenda may credit your Member’s Account for the full amount of the deposit and make any necessary adjustments to the Account to correct the error. Credit Union Nusenda may, at its option, also perform a risk management analysis of one or my more Files submitted by you Member to detect potentially fraudulent Checks, and, in its sole discretion, the Credit Union Nusenda may reject any such File, File or the images Images or other information contained therein. If after examination of a File and the Images and other information contained therein, the Credit Union Nusenda determines that you have Member has complied with this Agreement and processed and transmitted the File in accordance herewith and with instructionsthe Procedures, the File is balanced and the Images meet the requirements of Sections 4 and 7 Section 6 of this Agreement, then the Credit Union Nusenda shall accept the File (an “Accepted File”) for deposit to your Member’s Account.. Information and data reported hereunder: (a) may be received prior to final posting and confirmation and is subject to correction and (b) is for informational purposes only and may not be relied upon. Upon acceptance Member agrees that Nusenda shall have no liability for the content of the File, Credit Union shall electronically notify you of receipt and acceptance of the Accepted File for depositpayment-related information. Notwithstanding, Notwithstanding the fact that the Credit Union Nusenda has accepted a File for deposit, any credit made to your Member’s Account shall be provisional, and you Member shall remain liable to Credit Union Nusenda for any errors, inaccuracies, breach of warranties and any other loss sustained by, or claim made against, the Credit UnionNusenda.

As a form of correction, the Credit Union may credit your Account for the full amount of the deposit and make any necessary adjustments to the Account to correct the error. Credit Union may, at its option, also perform a risk management analysis of one or my Files submitted by you to detect potentially fraudulent Checks, and, in its sole discretion, the Credit Union may reject any such File, File or the images or other information contained therein. If after examination of a File and the Images and other information contained therein, the Credit Union determines that you have complied with this Agreement and processed and transmitted the File in accordance herewith and with instructions, the File balanced and the Images meet the requirements of Sections 4 and 7 of this Agreement, then the Credit Union shall accept the File (an “Accepted File”) for deposit to your Account. Upon acceptance of the File, Credit Union shall electronically notify you of receipt and acceptance of the Accepted File for deposit. Notwithstanding, the fact that the Credit Union has accepted a File for deposit, any credit made to your Account shall be provisional, and you shall remain liable to Credit Union for any errors, inaccuracies, breach of warranties and any other loss sustained by, or claim made against, the Credit Union.

Receipt of File. You agree to that you shall be solely liable for, and the Credit Union neither Bank nor Xxxxxxx shall not have any liability whatsoever to you for, for any File or the Images or other information contained therein that are not received by the Credit Union us or for any File or the Images or other information contained therein that are intercepted or altered by an unauthorized third party. You agree that Credit Union neither Bank nor Xxxxxxx has no an obligation to accept a File for remote deposit and, therefore, may reject any File or the Images or other information contained therein submitted by you. The Credit Union will Except as otherwise required by applicable law, we have no obligation to notify you of the rejection of a File, either in writing File or via email, of the Images or other information contained therein. The Credit Union , and neither Bank nor Alviere shall have any liability to you for the rejection of a File or the Images or other information contained therein or for the failure to notify you of such rejection. Upon receipt of a File submitted by you, the Credit Union Bank and/or Alviere may examine such File and the Images and other information contained therein to ensure that you have complied with this Agreement and followed the instructionsAgreement. If Credit Union determines that Bank or Alviere determine you have not complied with this Agreement or followed the instructions or if errors exist in the Images or other information contained in the File, Credit Union, in its sole discretion, Bank or Alviere may either reject the File or elect to correct the error and accept and process the corrected File (a “Corrected File”). As a form of correction, the Credit Union may credit your Account may be credited for the full amount of the deposit and we may make any necessary adjustments to the Account to correct the error. Credit Union may, at its option, also perform a risk management analysis of one or my Files submitted by you to detect potentially fraudulent Checks, and, in its sole discretion, the Credit Union may reject any such File, or the images or other information contained therein. If after examination of a File and the Images and other information contained therein, the Credit Union determines we determine that you have complied with this Agreement and processed and transmitted the File in accordance herewith and with instructionsthis Agreement, the File is balanced and the Images meet the requirements of Sections 4 and 7 of this Agreement, then the Credit Union we shall accept the File (an “Accepted File”) for deposit to your Account. Receipt of File. You may send multiple Files to us throughout the day. You agree that we may apply unique business rules to your Files and the transactions within your Files that differ substantially from the established business rules for your lockbox. If such unique business rules are used, we will notify you orally or in writing, and we may modify these unique rules as we deem necessary. If the number of Checks in or the total dollar value of the Files sent by you to us on any day exceeds the deposit limit that may be established for you by us, we may, at our option, refuse to accept the File that exceeds the deposit limit, or we may accept and process the File. You agree that you shall be solely liable for, and the Credit Union we shall not have any liability whatsoever to you for, any File or the Images or other information contained therein that are not received by the Credit Union us or for any File or the Images or other information contained therein that are intercepted or altered by an unauthorized third party. You agree that Credit Union has we have no obligation to accept a File and, therefore, may reject any File or the Images or other information contained therein submitted by you. The Credit Union We will endeavor to notify you but have no obligation to notify you of the rejection of a File, either in writing File or via email, of the Images or other information contained therein. The Credit Union We shall have no liability to you for the rejection of a File or the Images or other information contained therein or for the failure to notify you of such rejection. Upon receipt of a File submitted by you, the Credit Union we may examine such File and the Images and other information contained therein to ensure that you have complied with this Agreement Service Description and followed the instructionsProcedures. If Credit Union determines we determine that you have not complied with this Agreement Service Description or followed the instructions Procedures or if errors exist in the Images or other information contained in the File, Credit Union, we may in its sole our discretion, may either reject the File or elect to correct the error and accept and process the corrected File (a “Corrected File”). As a form of correction, the Credit Union we may credit your Account for the full amount of the deposit and make any necessary adjustments to the Account to correct the error. Credit Union As a form of correction, we may apply business rules to your File and to the transactions within your File that may vary from the established business rules for your lockbox. You shall be solely responsible for any corrections, adjustments or notifications that may be required as a result of corrections we make. We may, at its our option, also perform a risk management analysis of one or my more Files submitted by you to detect potentially fraudulent Checks, and, in its our sole discretion, the Credit Union we may reject any such File, File or the images Images or other information contained therein. If after examination of a File and the Images and other information contained therein, the Credit Union determines that you have complied with this Agreement and processed and transmitted the File in accordance herewith and with instructions, the File balanced and the Images meet the requirements of Sections 4 and 7 of this Agreement, then the Credit Union shall accept the File (an “Accepted File”) for deposit to your Account. Upon acceptance of the File, Credit Union shall electronically notify you of receipt and acceptance of the Accepted File for deposit. Notwithstanding, Notwithstanding the fact that the Credit Union has we have accepted a File for deposit, any credit made to your Account shall be provisional, and you shall remain liable to Credit Union us for any errors, inaccuracies, breach of warranties and any other loss sustained by, by us or claim Claim made against, the Credit Unionagainst us.

If Credit Union determines that you have not complied with this Agreement or followed the instructions or if errors exist in the Images or other information contained in the File, Credit Union, in its sole discretion, may either reject the File or elect to correct the error and accept and process the corrected File (a “Corrected File”). As a form of correction, the Credit Union may credit your Account for the full amount of the deposit and make any necessary adjustments to the Account to correct the error. Credit Union may, at its option, also perform a risk management analysis of one or my more Files submitted by you to detect potentially fraudulent Checks, and, in its sole discretion, the Credit Union may reject any such File, File or the images or other information contained therein. If after examination of a File and the Images and other information contained therein, the Credit Union determines that you have complied with this Agreement and processed and transmitted the File in accordance herewith and with instructions, the File balanced and the Images meet the requirements of Sections 4 and 7 of this Agreement, then the Credit Union shall accept the File (an “Accepted File”) for deposit to your Account. Upon acceptance of the File, Credit Union shall electronically notify you of receipt and acceptance of the Accepted File for deposit. Notwithstanding, the fact that the Credit Union has accepted a File for deposit, any credit made to your Account shall be provisional, and you shall remain liable to Credit Union for any errors, inaccuracies, breach of warranties and any other loss sustained by, or claim made against, the Credit Union.

Receipt of File. To ensure accuracy, you shall balance the dollar amount of each deposit to the sum of the Checks prior to transmitting the File in accordance with the Procedures. You may send multiple Files to us throughout the day. If the number of Checks in or the total dollar value of the Files sent by you to us on any day exceeds the deposit limit that may be established for you by us, we may, at our option, refuse to accept the File that exceeds the deposit limit, or we may accept and process the File. You agree to that you shall be solely liable for, and the Credit Union we shall not have any liability whatsoever to you for, any File or the Images or other information contained therein that are not received by the Credit Union us or for any File or the Images or other information contained therein that are intercepted or altered by an unauthorized third party. You agree that Credit Union has we have no obligation to accept a File and, therefore, may reject any File or the Images or other information contained therein submitted by you. The Credit Union We will endeavor to notify you but have no obligation to notify you of the rejection of a File, either in writing File or via email, of the Images or other information contained therein. The Credit Union We shall have no liability to you for the rejection of a File or the Images or other information contained therein or for the failure to notify you of such rejection. Upon receipt of a File submitted by you, the Credit Union we may examine such File and the Images and other information contained therein to ensure that you have complied with this Agreement Service Description and followed the instructionsProcedures. If Credit Union determines we determine that you have not complied with this Agreement Service Description or followed the instructions Procedures or if errors exist in the Images or other information contained in the File, Credit Union, we may in its sole our discretion, may either reject the File or elect to correct the error and accept and process the corrected File (a “Corrected File”). Upon acceptance of the File, Credit Union shall electronically notify you of receipt and acceptance of the Accepted File for deposit. Notwithstanding, Notwithstanding the fact that the Credit Union has we have accepted a File for deposit, any credit made to your Account shall be provisional, and you shall remain liable to Credit Union us for any errors, inaccuracies, breach of warranties and any other loss sustained by, or claim made against, the Credit Unionagainst us.
