Receipt of Consents. All approvals, consents and waivers that are listed on Schedule 3.02 of the Disclosure Schedules shall have been received, and executed counterparts thereof shall have been obtained by Seller at or prior to the Closing; provided, however, Seller shall have used reasonable commercial efforts to obtain such approvals, consents and waivers.
