The conditions specified in Section 9.02 shall have been satisfied and all of the approvals and consents described in Schedule 4.05 shall have been obtained and shall be in full force and effect; provided that if the approvals and consents of Governmental Authorities for franchises which represent at least 80% of the Combined Basic Subscribers shall have been obtained, then this condition shall have been deemed to have been satisfied if the conditions specified in Section 9.02 shall have been satisfied and all Required Consents on Schedule 4.05 shall have been obtained and shall be in full force and effect.
