Recalls, Technical Complaints etc. 5.4.1 In the event of a serious dispute between DISTRIBUTOR or its Sub-Contractor and any proposed purchaser in relation to quality of the Product related to the sale or offer for sale of the Product DISTRIBUTOR shall forthwith inform SUPPLIER of the details and circumstances of the dispute, as set out in the Quality Agreement, and SUPPLIER shall be entitled (but not obliged) to participate in the resolution or defence of any such dispute at its own cost and DISTRIBUTOR shall comply with the reasonable directions and requirements of SUPPLIER in relation thereto and shall not make any admissions without the prior written approval of SUPPLIER. DISTRIBUTOR and SUPPLIER shall accept and follow the responsibilities and processes for recalls, complaints and other quality related issues as described in the PVA and the Quality Agreement and any subsequent revisions of the same.
