Real Property, Building and Premises. Upon and subject to the ------------------------------------ terms, covenants and conditions hereinafter set forth in this Lease, Lessor hereby leases to Lessee and Lessee hereby leases from Lessor the premises set forth in Section 4 of the Summary (the "Premises"), which Premises are located in the "Project," as that term is defined in this Section 1.1. The outline of the floor plan of the Premises is set forth in Exhibit B attached hereto. The --------- Premises are a part of the office building (the "Project") located at 000 Xxxx Xxxxxxxx Xxxxxxxxx, Xxxxxxxx, Xxxxxxxxxx 00000. The office building, the parking garage facility located adjacent to the office building ("Adjacent Parking Structure"), the outside plaza areas, land and other improvements surrounding the Project which are designated from time to time by Lessor as common areas appurtenant to or servicing the Project, and the land upon which any of the foregoing are situated, are herein sometimes collectively referred to as the "Real Property." Lessee is hereby granted the right to the nonexclusive use of the common corridors and hallways, stairwells, elevators, rest rooms and other public or common areas located on the "Real Property," provided, however, that the manner in which such public and common areas are maintained and operated shall be at the sole discretion of Lessor and the use thereof shall be subject to such rules, regulations and restrictions as Lessor may make form time to time, subject to non-discrimination standards. Lessor reserves the right to make alterations or additions to or change the location of elements of the Real Property and the common areas thereof provided however, that Lessor shall not make any alterations or changes to the Common Areas that would materially decrease the level of service provided to Lessee. Except when and where Lessee's right of access is specifically excluded above and elsewhere on this Lease, Lessee shall have the right of access to the Premises twenty-four (24) hours per day, seven (7) days per week during the Lease Term.

Real Property, Building and Premises. The --------- Premises are a part of Building, the office building Building’s parking facilities (the "Project") located at 000 Xxxx Xxxxxxxx Xxxxxxxxx, Xxxxxxxx, Xxxxxxxxxx 00000. The office building, the parking garage facility located adjacent to the office building ("Adjacent Parking Structure"Facilities”), the any outside plaza areas, land and other improvements surrounding the Project Building which are reasonably designated from time to time by Lessor Landlord as common areas appurtenant to or servicing the ProjectBuilding, and the land upon which any of the foregoing are situated, are herein sometimes collectively referred to as the "Real Property." Lessee ”. Tenant is hereby granted the right to the nonexclusive use of the common corridors and hallways, stairwells, elevators, rest rooms restrooms and other public or common areas located within the Building, and the non-exclusive use of the areas located on the "Real Property," Property designated by Landlord from time to time as common areas for the Building (the “Common Areas”); provided, however, that (i) the manner in which such public and common areas Common Areas are maintained and operated shall be at the sole discretion of Lessor and Landlord, (ii) the use thereof shall be subject to such reasonable, non-discriminatory rules, regulations and restrictions as Lessor Landlord may make form from time to time, subject which rules and regulations shall not be unreasonably or discriminatorily modified or enforced in a manner which shall materially interfere with the conduct of Tenant’s Permitted Use from the Premises or Tenant’s use of or access to non-discrimination standards. Lessor reserves the right to make alterations Premises or additions to or change the location of elements Parking Facilities, and (iii) Tenant may not go on the roof of the Real Property Building without Landlord’s prior consent (which may be withheld in Landlord’s sole and absolute discretion) and without otherwise being accompanied by a representative of Landlord. Notwithstanding anything to the common areas thereof provided howevercontrary contained in this Lease, that Lessor Landlord shall not make any alterations or changes to maintain and operate the Project, the Building and all the Common Areas in a manner materially consistent with that would materially decrease of other first-class, high-rise office buildings in the level Tri-City market area (i.e., the Glendale/Burbank/Pasadena, California area), which are comparable in terms of service provided to Lesseesize, age, quality of construction, appearance, and quality of common area improvements (the “Comparable Buildings”). Except when and where Lessee's Tenant’s right of access is specifically excluded above and elsewhere on as the result of (i) an emergency, (ii) a requirement by Applicable Laws, or (iii) a specific provision set forth in this Lease, Lessee Tenant shall have the right of access to the Premises Premises, the Building, the Common Areas and the Parking Facilities twenty-four (24) hours per day, seven (7) days per week during the Lease Term”, as that term is defined in Section 2.1 of this Lease. Landlord reserves the right, in its reasonable discretion, from time to time to use any of the Common Areas, and the roof, risers and conduits of the Building for telecommunications and/or any other purposes, and to do any of the following: (1) make any changes, additions, improvements, repairs and/or replacements in or to the Real Property or any portion or elements thereof, including, without limitation, expanding or decreasing the size of any Common Areas and other elements thereof; (2) close temporarily any of the Common Areas while engaged in making repairs, improvements or alterations to the Real Property; and (3) perform such other acts and make such other changes with respect to the Real Property as Landlord may, in the exercise of good faith business judgment, deem to be appropriate; provided, however, that no such additions to the Project, closures or changes to the Real Property shall increase Tenant’s obligations (including, without limitation, Tenant’s monetary obligations with respect to Tenant’s Share of Operating Expenses, Tax Expenses or Utilities Costs) or materially decrease Tenant’s rights under this Lease; provided further, however, Landlord shall take all commercially reasonable efforts necessary to minimize material interference with Tenant’s use of the Premises and business operations therein during any such additions to the Project, closures or changes to the Real Property.

Tenant shall also be permitted to use the telephone rooms on the floors containing the Premises to service, maintain, repair and/or replace its equipment. Tenant shall also have the right to use, or access, at its sole cost and expense, any ceilings or space above the ceilings on the floors containing the Premises to the extent necessary to service Tenant’s equipment in the Premises and to run wires, cables and other conduits (including telecommunications and computer wires, cables and conduits) from the ground and/or roof to the Premises, and between and among the Premises, to the extent (A) permitted by applicable laws, and (B) necessary in connection with conducting normal business and/or banking operations in the Premises (collectively, the “Conduit Uses”). Tenant’s right to use and access the conduits and riser space from the ground and/or roof to the Premises for the Conduit Uses shall be subject to availability as reasonably determined by Landlord, but Tenant shall, at its sole cost and expense, in all events: (1) be entitled to continue to use for the Conduit Uses the (a) conduits and riser space servicing the Premises that Tenant currently uses as of the First Commencement Date, and (b) the wall mounted MPOE in the Building garage that Tenant currently uses as of the First Commencement Date; (2) be entitled to use for the Conduit Uses up to Tenant’s Share of the usable area of any common riser and conduit space located in and through the telephone closets of the Building that exists and is unused as of the date of this Lease, so long as any such use does not preclude or unreasonably interfere with Landlord’s ability to access such riser and conduit space and/or telephone closets to maintain and repair such space and closets and any conduits, wiring, cabling and/or equipment therein; and (3) so long as a Design Problem (as defined below) is not created, Tenant may construct, at Tenant’s sole cost and expense, additional conduit and riser space through the telephone closets of the Building (i.e., construct additional holes in the floor and ceiling of such telephone closets) for the Conduit Uses without charge for the use of such additional conduit and riser space (so long as Tenant does not use, in the aggregate, more than Tenant’s Share of the usable area within such telephone closets therefor), which construction shall be performed in compliance with all applicable laws and the provisions of Article 8 below. Tenant shall not be required remove and clear any unused wires, cable and other conduits from the Building’s risers that service each applicable Give-Back Space; provided, however, that Lessor shall not make any alterations or changes to the Common Areas that would materially decrease the level of service provided to Lessee. Except when and where Lessee's right of access is specifically excluded above and elsewhere on this Lease, Lessee Landlord shall have the right of access to do so at any time following the applicable Give-Back Dates. Tenant’s rights to the Premises twentyinclude the right to use and access any floors or walls on the floors containing the Premises to install equipment, wiring, cables, conduits and the like as necessary to service, maintain, repair and/or replace Tenant’s equipment in the Premises. Without limiting the foregoing, Tenant shall remove all equipment (including security head end equipment and/or UPS service panels) located in mechanical/telephone closets on floors of the Give Back Space that serve other floors of the Give Back Space on or before the applicable Give-four Back Dates under Section 1.2 below. Tenant is hereby granted the right to the nonexclusive use of the common corridors and hallways, stairwells, elevators, rest rooms restrooms and other public or common areas located on the "Real Property," ; provided, however, that the manner in which such public and common areas are maintained and operated shall be at the sole discretion of Lessor Landlord and the use thereof shall be subject to such the rules, regulations and restrictions attached hereto as Lessor Exhibit D, as the same may make form be modified by Landlord from time to time, subject to non-discrimination standards. Lessor reserves the right to make alterations or additions to or change the location of elements of the Real Property and the common areas thereof provided however, that Lessor shall not make any alterations or changes to the Common Areas that would materially decrease the level of service provided to Lessee. Real Property, Building and Premises. Upon Landlord and Tenant entered into that certain Office Lease dated July 7, 1998, as amended by that certain First Amendment to Office Building Lease dated as of October 31, 1998, that certain Second Amendment to Office Lease dated as of January 10, 2002, that certain Third Amendment to Office Lease dated as of January 29, 2003, that certain Fourth Amendment to Office Lease dated as of October 30, 2003 and that certain Fifth Amendment to Lease dated as of July 30, 2004 (collectively, the “Existing Lease”), whereby Tenant currently leases from Landlord certain premises (the “Existing Premises”) consisting of approximately 20,293 rentable square feet, commonly known as Suites 201, 220, 312 and 504 located on the second (2nd), third (3rd) and fifth (5th) floors of the building located at 0000 Xxxxxxxx Xxxxxxxxx.
