RATIFICATION OF PERFECTION CERTIFICATES. Holdings hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated as of August 19, 2009, by Holdings and delivered to Bank (the “Holdings Perfection Certificate”), and acknowledges, confirms and agrees the disclosures and information Holdings provided to Bank in the Holdings Perfection Certificate have not changed, as of the date hereof. Intermediate hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated as of August 19, 2009, by Intermediate and delivered to Bank (the “Intermediate Perfection Certificate”), and acknowledges, confirms and agrees the disclosures and information Intermediate provided to Bank in the Intermediate Perfection Certificate have not changed, as of the date hereof. Vericept hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated as of August 19, 2009, by Vericept and delivered to Bank (the “Intermediate Perfection Certificate”), and acknowledges, confirms and agrees the disclosures and information Intermediate provided to Bank in the Intermediate Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATES. Holdings Parent hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain the Perfection Certificate dated as of August 19March 22, 20092017, as amended in connection with the Second Amendment, delivered by Holdings and delivered Parent to Bank (the “Holdings Parent Perfection Certificate”), and acknowledges, confirms and agrees the disclosures and information Holdings Parent provided to Bank in the Holdings said Parent Perfection Certificate have not changed, as of the date hereof. Intermediate Delaware Subsidiary hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain the Perfection Certificate dated as of August 19March 22, 20092017, as amended in connection with the Second Amendment, delivered by Intermediate and delivered Delaware Subsidiary to Bank (the “Intermediate Delaware Subsidiary Perfection Certificate”), and acknowledges, confirms and agrees the disclosures and information Intermediate Delaware Subsidiary provided to Bank in the Intermediate said Delaware Subsidiary Perfection Certificate have not changed, as of the date hereof. Vericept Vivo hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain the Perfection Certificate dated as of August 19June 21, 20092018, delivered by Vericept and delivered Vivo to Bank (the “Intermediate Vivo Perfection Certificate”), and acknowledges, confirms and agrees the disclosures and information Intermediate Vivo provided to Bank in said Vivo Perfection Certificate have not changed, as of the Intermediate date hereof. Australian Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in the Perfection Certificate dated as of June 21, 2018, delivered by Australian Borrower to Bank (the “Australian Borrower Perfection Certificate”), and acknowledges, confirms and agrees the disclosures and information Australian Borrower provided to Bank in said Australian Borrower Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATES. Holdings Except as set forth on Exhibit A to the First Loan Modification Agreement, Technest hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated as of August 194, 2009, by Holdings 2006 between Technest and delivered to Bank (the “Holdings Perfection Certificate”)Bank, and acknowledges, confirms and agrees the disclosures and information Holdings Borrower provided to Bank in the Holdings Perfection Certificate have not changed, as of the date hereof. Intermediate hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate dated as of August 19, 2009, by Intermediate and delivered to Bank (the “Intermediate Perfection Certificate”), and acknowledges, confirms and agrees the disclosures and information Intermediate provided to Bank in the Intermediate Perfection Certificate have not changed, as of the date hereof. RATIFICATION OF PERFECTION CERTIFICATES. Holdings Parent Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate of Parent Borrower dated as of August 19March 16, 20092018, by Holdings and delivered to Bank as amended as set forth on Schedule 3 attached hereto (the “Holdings Parent Borrower Perfection Certificate”), ) and acknowledges, confirms and agrees the disclosures and information Holdings Parent Borrower provided to Bank in the Holdings said Perfection Certificate have not changed, as of the date hereof. Intermediate Subsidiary Borrower hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificate of Subsidiary Borrower dated as of August 19March 16, 20092018, by Intermediate and delivered to Bank as amended as set forth on Schedule 4 attached hereto (the “Intermediate Subsidiary Borrower Perfection Certificate”), ) and acknowledges, confirms and agrees the disclosures and information Intermediate Subsidiary Borrower provided to Bank in the Intermediate said Perfection Certificate have not changed, as of the date hereof. Vericept Parent Borrower and Subsidiary Borrower each hereby ratifies, confirms and reaffirms, agree that all and singular, references in the terms and disclosures contained in a certain Loan Agreement to the “Perfection Certificate” shall hereinafter be deemed to reference collectively the Parent Borrower Perfection Certificate dated as of August 19, 2009, by Vericept and delivered to Bank (the “Intermediate Subsidiary Borrower Perfection Certificate”), and acknowledges, confirms and agrees the disclosures and information Intermediate provided to Bank in the Intermediate Perfection Certificate have not changed, as of the date hereofdefined herein.

RATIFICATION OF PERFECTION CERTIFICATES. Holdings Parent hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain the Perfection Certificate dated as of August 19March 22, 20092017, as amended as set forth on Schedule 3 attached hereto, delivered by Holdings and delivered Parent to Bank (the “Holdings Parent Perfection Certificate”), and acknowledges, confirms and agrees the disclosures and information Holdings Parent provided to Bank in the Holdings said Parent Perfection Certificate have not changed, as of the date hereof. Intermediate Delaware Subsidiary hereby ratifies, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain the Perfection Certificate dated as of August 19March 22, 20092017, as amended as set forth on Schedule 4 attached hereto, delivered by Intermediate and delivered Delaware Subsidiary to Bank (the “Intermediate Delaware Subsidiary Perfection Certificate” and collectively with the Parent Perfection Certificate, the “Existing Borrower Perfection Certificates”), and acknowledges, confirms and agrees the disclosures and information Intermediate Delaware Subsidiary provided to Bank in the Intermediate said Delaware Subsidiary Perfection Certificate have not changed, as of the date hereof. Vericept Borrower hereby ratifiesacknowledges and agrees that all references in the Loan Agreement to “Perfection Certificate” shall mean and include, confirms and reaffirms, all and singularcollectively, the terms Existing Borrower Perfection Certificates and disclosures contained in a certain Perfection Certificate dated as of August 19, 2009, by Vericept and delivered to Bank (the “Intermediate New Borrower Perfection Certificate”), and acknowledges, confirms and agrees the disclosures and information Intermediate provided to Bank in the Intermediate Perfection Certificate have not changed, as of the date hereof.
