RATIFICATION OF PERFECTION CERTIFICATES. Borrower hereby ratifies, confirms, and reaffirms, all and singular, the terms and disclosures contained in certain Perfection Certificates delivered to the Bank on or about June 11, 2003, and acknowledges, confirms and agrees the disclosures and information provided therein has not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATES. Borrower hereby ratifies, confirms, and reaffirms, all and singular, the terms and disclosures contained in certain Perfection Certificates delivered to the Bank on or about June 11January 31, 20032005, and acknowledges, confirms and agrees the disclosures and information provided therein has have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATES. Borrower (a) Finisar hereby ratifies, confirms, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificates delivered to the Bank on or about June 11Certificate dated as of March 14, 20032008 between Finisar and Bank, and acknowledges, confirms and agrees that the disclosures and information Finisar provided therein has to Bank in the Perfection Certificate have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATES. Borrower hereby ratifies, confirms, confirms and reaffirms, all and singular, the terms and disclosures contained in certain Perfection Certificates delivered to the Bank on or about June 11each dated as of January 30, 2003, as amended and affected by Schedule 1 to the Fourth Amendment and Exhibit A to the Fourth Amendment and acknowledges, confirms and agrees the disclosures and information provided therein has not changed, changed as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATES. Borrower hereby ratifies, confirms, confirms and reaffirms, all and singular, the terms and disclosures contained in certain Perfection Certificates delivered to the Bank on or about June 11Certificate dated as of August 5, 2003, 2008 and acknowledges, confirms and agrees the disclosures and information provided therein to Bank in the Perfection Certificate has not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATES. Borrower hereby ratifies, confirms, and reaffirms, all and singular, the terms and disclosures contained in certain Perfection Certificates delivered to the Bank on or about dated June 112, 2003, 2004 and acknowledges, confirms and agrees the disclosures and information provided therein has not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATES. Borrower hereby ratifies, confirms, and reaffirms, all and singular, the terms and disclosures contained in certain Perfection Certificates delivered to the Bank on or about June 11July 28, 20032004, and acknowledges, confirms and agrees the disclosures and information provided therein has not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATES. Borrower hereby ratifies, confirms, confirms and reaffirms, all and singular, the terms and disclosures contained in those certain Perfection Certificates delivered to the Bank on or about June 11dated as of April 25, 20032011 between each Borrower and Bank, and acknowledges, confirms and agrees the disclosures and information Borrower provided therein has to Bank in the Perfection Certificates have not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATES. Except as Borrower has otherwise previously disclosed to Bank, Borrower hereby ratifies, confirms, and reaffirms, all and singular, the terms and disclosures contained in certain Perfection Certificates delivered to the Bank on or about June 11July 28, 20032004, and acknowledges, confirms and agrees the disclosures and information provided therein has not changed, as of the date hereof.

RATIFICATION OF PERFECTION CERTIFICATES. Except as Borrower has otherwise previously disclosed to Bank, Borrower hereby ratifies, confirms, and reaffirms, all and singular, the terms and disclosures contained in certain Perfection Certificates delivered to the Bank on or about June 11July 28, 20032004, and acknowledges, confirms and agrees the disclosures and information provided therein has not changed, as of the date hereof, with the sole exception of the matters set forth on Appendix A to this Loan Modification Agreement.

RATIFICATION OF PERFECTION CERTIFICATES. Except as Borrower has otherwise previously disclosed to Bank, Borrower hereby ratifies, confirms, and reaffirms, all and singular, the terms and disclosures contained in certain Perfection Certificates delivered to the Bank on or about June 11July 28, 20032004, and acknowledges, confirms and agrees the disclosures and information provided therein has not changed, as of the date hereof, with the sole exception of the matters previously disclosed to Bank in writing.

RATIFICATION OF PERFECTION CERTIFICATES. Borrower hereby ratifies, confirms, confirms and reaffirms, all and singular, the terms and disclosures contained in a certain Perfection Certificates delivered to the Bank on or about Certificate of Borrower dated as of June 1121, 20032011, and acknowledges, confirms and agrees that the disclosures and information Borrower provided therein has to Bank in such Perfection Certificate have not changed, as of the date hereof.
