Common use of Ranking Clause in Contracts

Ranking. The Series A Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A Preferred Units; (ii) on a parity with the Series B Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A Preferred Units.

Ranking. The Series A Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding winding-up or dissolution of the Partnership, Company rank (i) senior to the Common Units and to all Partnership other Membership Units the terms of which provide that such Partnership Membership Units shall rank junior to the Series A Preferred Units; (ii) on a parity with the Series B Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Membership Units which rank senior to the Series A Preferred Units.

Ranking. The Series A Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding winding-up or dissolution of the Partnership, rank (i) senior to the Common Units and to all other Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A Preferred Units; (ii) on a parity with all Parity Preferred Units, including the Series B Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A Preferred Units.

Ranking. The Series A I Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A I Preferred Units; (ii) on a parity with the Series B D Preferred Units, the Series E Preferred Units, the Series F Preferred Units, the Series H Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A I Preferred Units.

Ranking. The Series A B Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding winding-up or dissolution of the Partnership, rank (i) senior to the Common Units and to all other Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A B Preferred Units; (ii) on a parity with all Parity Preferred Units, including the Series B Preferred Units and all other Parity A Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A B Preferred Units.

Ranking. The Series A C Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding winding-up or dissolution of the Partnership, rank (i) senior to the Common Units and to all other Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A C Preferred Units; (ii) on a parity with all Parity Preferred Units, including the Series A Preferred Units, the Series B Preferred Units and all other Parity the Series D Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A C Preferred Units.

The Series A D Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding winding-up or dissolution of the Partnership, rank (i) senior to the Common Units and to all other Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A D Preferred Units; (ii) on a parity with all Parity Preferred Units, including the Series A Preferred Units, the Series B Preferred Units and all other Parity the Series C Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A D Preferred Units.

The Series A B Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding winding-up or dissolution of the Partnership, rank (i) senior to the Common Units and to all other Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A B Preferred Units; (ii) on a parity with all Parity Preferred Units, including the Series B A Preferred Units, Series C Preferred Units and all other Parity the Series D Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A B Preferred Units.

The Series A H Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A H Preferred Units; (ii) on a parity with the Series B D Preferred Units Units, the Series E Preferred Units, the Series F Preferred Units, and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A H Preferred Units.

The Series A F Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A F Preferred Units; (ii) on a parity with the Series B C Preferred Units, the Series D Preferred Units, the Series E Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A F Preferred Units.

The Series A F Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding winding-up or dissolution of the Partnership, rank (i) senior to the Common Units and to all other Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A F Preferred Units; (ii) on a parity with all Parity Preferred Units, including the Series B E Preferred Units and all other Parity the Series G Preferred Units; and (iii) junior to all Partnership Units the terms of which provide that such Partnership Units shall rank senior to the Series A F Preferred Units.

Ranking. The Series A O Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A O Preferred Units; (ii) on a parity with the Series B J Preferred Units, the Series K Preferred Units, the Series L Preferred Units, the Series M Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A O Preferred Units.

Ranking. The Series A Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding winding-up or dissolution of the Partnership, rank (i) senior to the Common Units and to all other Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A Preferred Units; (ii) on a parity with the Series B Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A Preferred Units.

The Series A K Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A K Preferred Units; (ii) on a parity with the Series A Preferred Units, the Series B Preferred Units, the Series J Preferred Units, the Series L Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A K Preferred Units.

Ranking. The Series A B Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) 77 senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A B Preferred Units; (ii) on a parity with the Series B A Preferred Units, the Series J Preferred Units, Series K Preferred Units, the Series L Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A B Preferred Units.

Ranking. The Series A M Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A M Preferred Units; (ii) on a parity with the Series B Preferred Units, the Series J Preferred Units, the Series K Preferred Units, the Series L Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A M Preferred Units.

The Series A L Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A L Preferred Units; (ii) on a parity with the Series B J Preferred Units, the Series K Preferred Units, the Series M Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A L Preferred Units.

The Series A K Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A K Preferred Units; (ii) on a parity with the Series B Preferred Units, the Series J Preferred Units, the Series L Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A K Preferred Units.

Ranking. The Series A Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding winding-up or dissolution of the Partnership, rank (i) senior to the Common Units and to all other Partnership Units the terms of which provide that expressly designate such Partnership Units shall rank as ranking junior to the Series A Preferred Units; (ii) on a parity with the Series B Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank expressly designated as ranking senior to the Series A Preferred Units.

The Series A B Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding winding-up or dissolution of the Partnership, rank (i) senior to the Common Units and to all other Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A B Preferred Units; (ii) on a parity with all Parity Preferred Units, including the Series B A Preferred Units and all other Parity Series C Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A B Preferred Units.

The Series A K Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A K Preferred Units; (ii) on a parity with the Series B Preferred Units, the Series J Preferred Units, the Series L Preferred Units, the Series M Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A K Preferred Units.

The Series A L Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A L Preferred Units; (ii) on a parity with the Series B J Preferred Units, the Series K Preferred Units, the Series M Preferred Units, the Series O Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A L Preferred Units.

Ranking. The Series A I Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A I Preferred Units; (ii) on a parity with the Series B D Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A I Preferred Units.

Ranking. The Series A C Preferred Units shallshall rank senior in right of preference to all Common Units and all other Membership Interests or Equity Securities, whether now or hereafter authorized or issued, with respect to distribution rights distributions, distributions, liquidation, dissolution or winding up, except to the extent expressly provided otherwise in any instrument creating or designating the terms, preferences and rights upon voluntary of Membership Interests or involuntary liquidation, winding up Equity Securities authorized and issued pursuant to Section 4.6 or dissolution Section 8.4(b) of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Operating Agreement. The Series C Preferred Units shall rank junior to pari passu with the Series A Convertible Preferred Units; (ii) on a parity with Units and the Series B Convertible Preferred Units, except with respect to distributions taking into account the Threshold Value of the Series B Convertible Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A C Preferred Units.

The Series A B Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A B Preferred Units; (ii) on a parity with the Series B A Preferred Units, the Series J Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A B Preferred Units.

The Series A D Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding winding-up or dissolution of the Partnership, rank (i) senior to the Common Units and to all other Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A D Preferred Units; (ii) on a parity with all Parity Preferred Units, including the Series B C Preferred Units, the Series E Preferred Units and all other Parity the Series F Preferred Units; and (iii) junior to all Partnership Units the terms of which provide that such Partnership Units shall rank senior to the Series A D Preferred Units.

The Series A I Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding winding-up or dissolution of the Partnership, Company rank (i) senior to the Common Units and to all Partnership other Membership Units the terms of which provide that such Partnership Membership Units shall rank junior to the Series A I Preferred Units; (ii) on a parity with all Parity Preferred Units, which shall expressly include the Series B F Preferred Units, the Series G Preferred Units and all other Parity the Series H Preferred Units; and (iii) junior to all Partnership Membership Units which rank senior to the Series A I Preferred Units.

The Series A S Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A S Preferred Units; (ii) on a parity with the Series B L Preferred Units, the Series M Preferred Units, the Series O Preferred Units, the Series P Preferred Units, the Series Q Preferred Units, the Series R Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A S Preferred Units.. 104

The Series A K Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A K Preferred Units; (ii) on a parity with the Series A Preferred Units, the Series B Preferred Units, the Series J Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A K Preferred Units.

Ranking. The Series A D Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding winding-up or dissolution of the Partnership, rank (i) senior to the Common Units and to all other Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A D Preferred Units; (ii) on a parity with all Parity Preferred Units, including the Series B C Preferred Units and all other Parity the Series E Preferred Units; and (iii) junior to all Partnership Units the terms of which provide that such Partnership Units shall rank senior to the Series A D Preferred Units.

Ranking. The Series A R Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A R Preferred Units; (ii) on a parity with the Series B L Preferred Units, the Series M Preferred Units, the Series O Preferred Units, the Series P Preferred Units, the Series Q Preferred Units, the Series S Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A R Preferred Units.

Ranking. The Series A Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A Preferred Units; (ii) on a parity with the Series B Preferred Units, the Series J Preferred Units, the Series K Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A Preferred Units.

Ranking. The Series A B Preferred Units shall, with respect to distribution dividend rights and rights upon voluntary or involuntary liquidation, winding dissolution or winding-up or dissolution of the Operating Partnership, rank (ia) senior to the Common Units and to all Partnership Units units ranking junior to such Series B Preferred Units; (b) on a parity with all units issued by the Operating partnership the terms of which specifically provide that such Partnership Units shall units rank junior to the Series A Preferred Units; (ii) on a parity with the Series B Preferred Units and all other Parity Preferred Units; and (iiic) junior to all Partnership Units units issued by the Operating partnership (in accordance with this Certificate of Designations) the terms of which specifically provide that such units rank senior to the Series A B Preferred Units. For purposes of this paragraph 7, the term "units" does not include indebtedness convertible into units.

Ranking. The Series A E Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units, the Series B Preferred Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A E Preferred Units; (ii) on a parity with the Series B A Preferred Units, the Series C Preferred Units, the Series D Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A E Preferred Units.

Ranking. The Series A M Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A M Preferred Units; (ii) on a parity with the Series B L Preferred Units, the Series O Preferred Units, the Series P Preferred Units, the Series Q Preferred Units, the Series R Preferred Units, the Series S Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A M Preferred Units.

Ranking. The Series A Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding winding-up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A Preferred other Junior Units; (ii) on a parity with the Series B Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A Preferred Senior Units.

Ranking. The Series A G Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding winding-up or dissolution of the Partnership, Company rank (i) senior to the Common Units and to all Partnership other Membership Units the terms of which provide that such Partnership Membership Units shall rank junior to the Series A G Preferred Units; (ii) on a parity with all Parity Preferred Units, which shall expressly include the Series B F Preferred Units, the Series H Preferred Units and all other Parity the Series I Preferred Units; and (iii) junior to all Partnership Membership Units which rank senior to the Series A G Preferred Units.

Ranking. The Series A H Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A H Preferred Units; (ii) on a parity with the Series B D Preferred Units Units, the Series E Preferred Units, the Series F Preferred Units, the Series G Preferred Units, and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A H Preferred Units.

Ranking. The Series A B Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding winding-up or dissolution of the Partnership, rank (i) senior to the Common Units and to all other Partnership Units the terms of which provide that expressly designate such Partnership Units shall rank as ranking junior to the Series A B Preferred Units; (ii) on a parity with the Series B A Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank expressly designated as ranking senior to the Series A B Preferred Units.

Ranking. The Series A B Preferred Units shallwill, with respect to distribution rights and distributions or rights upon voluntary or involuntary liquidation, winding winding-up or dissolution of the Partnership, or both, rank senior to all classes or series of Partnership Interests (as defined in the Partnership Agreement) of the Partnership now or hereafter authorized, issued or outstanding, other than (i) senior to the Common Units and to all Partnership Units the terms of Series B Stock Preferred Interest, which provide that such Partnership Units with it shall rank junior to the Series A Preferred Units; on a parity, and (ii) any class or series of Partnership Interests or Partnership Units expressly designated as ranking on a parity with the Series B Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank or senior to the Series A Preferred UnitsUnits as to distributions or rights upon voluntary or involuntary liquidation, winding-up or dissolution of the Partnership, or both.

Ranking. The Series A C Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding winding-up or dissolution of the Partnership, rank (i) senior to the Common Units and to all other Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A C Preferred Units; (ii) on a parity with all Parity Preferred Units, including the Series B D Preferred Units and all other Parity the Series E Preferred Units; and (iii) junior to all Partnership Units the terms of which provide that such Partnership Units shall rank senior to the Series A C Preferred Units.

Ranking. The Series A B Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A B Preferred Units; (ii) on a parity with the Series B A Preferred Units, the Series J Preferred Units, Series K Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A B Preferred Units.

Ranking. The Series A Preferred Units shallshall rank senior in right of preference to all Common Units and all other Membership Interests or Equity Securities, whether now or hereafter authorized or issued, with respect to distribution rights distributions, distributions, liquidation, dissolution or winding up, except to the extent expressly provided otherwise in any instrument creating or designating the terms, preferences and rights upon voluntary of Membership Interests or involuntary liquidation, winding up Equity Securities authorized and issued pursuant to Section 4.6 or dissolution Section 8.4(b) of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Operating Agreement. The Series A Preferred Units shall rank junior to the Series A Preferred Units; (ii) on a parity pari passu with the Series B Convertible Preferred Units and all other Parity the Series C Convertible Preferred Units; and (iii) junior , except with respect to all Partnership Units which rank senior to distributions taking into account the Threshold Value of the Series A B Convertible Preferred Units and the Series C Convertible Preferred Units.

Ranking. The Series A G Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A G Preferred Units; (ii) on a parity with the Series B C Preferred Units, the Series D Preferred Units, the Series E Preferred Units, the Series F Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A G Preferred Units.

Ranking. The Series A O Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A O Preferred Units; (ii) on a parity with the Series B L Preferred Units, the Series M Preferred Units, the Series P Preferred Units, the Series Q Preferred Units, the Series R Preferred Units, the Series S Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A O Preferred Units.

Ranking. The Series A E Preferred Units shall, with respect to distribution rights and rights upon voluntary or involuntary liquidation, winding up or dissolution of the Partnership, rank (i) senior to the Common Units, the Series B Preferred Units and to all Partnership Units the terms of which provide that such Partnership Units shall rank junior to the Series A E Preferred Units; (ii) on a parity with the Series B A Preferred Units, the Series D Preferred Units, the Series F Preferred Units and all other Parity Preferred Units; and (iii) junior to all Partnership Units which rank senior to the Series A E Preferred Units.”
