Common use of Quality Management System Clause in Contracts

Quality Management System. Seller shall maintain a quality management system that meets one of the following criteria: 1) Is accepted by a National Aviation Authority (“NAA”) (i.e. FAA, EASA, CAAC, etc.); or 2) Is accredited by a recognized third (3rd) party certifying body for ISO 9101, AS9100, AS9110, AS 9120; or 3) Is accepted by CTS. In addition to the foregoing, Seller shall adhere to the Defense Priorities and Allocations System (“DPAS”) priority requirements flowed down by CTS; maintain capabilities/processes/products/services that meet the regulatory requirements of CFR Part 145; ensure NAA and CTS requirements are met, and, as applicable and appropriate, flowed down to any Seller- designated or approved external providers, sub-tier sources or sub-contractors, including special process providers (if any); have appropriate equipment, tooling, testing, and inspection capability(s) to ensure product safety is maintained; provide the documentation package and/or airworthiness release documentation as stated on the Order and in accordance with these provisions; follow NAA requirements for reporting malfunctions, defects, and unairworthy conditions; use customer-designated or approved external providers, including process sources (e.g., special processes); notify the organization of nonconforming processes, products, or services and obtain approval for their disposition; prevent the use of unapproved and counterfeit parts; notify the organization of changes to processes, products, or services, including changes of their external providers or location of manufacture, and obtain the organization’s approval; flow down to external providers applicable requirements including customer requirements; retain documented information, including retention periods and disposition requirements; and provide the appropriate maintenance release document as stated on the Purchase Order. Goods supplied shall meet the requirements in the applicable technical specifications and documentation (publications, revision levels, drawings, specifications, standards, etc.), to include those documented on CTS’s Order (if any). It shall be the sole responsibility of Seller to monitor that the technical specifications regarding materials, methods, form, fitness, and function are observed, whether or not the items have been manufactured by Seller, or by any of its sub-tier sources or subcontractors. It is understood that in the absence of applicable technical specification and/or revisions, Seller shall utilize the latest revision.

Quality Management System. Seller The Contractor shall maintain a quality management system that meets one be certified or demonstrate compliance to the latest version of the following criteria: 1ISO 9001 Quality Management Systems standard and related ISO 9000 series of Standards and Supplier Quality Management Specification QM 58(240-105658000) a. The Contractor shall provide Index, Method statement, Inspection and Test Plan (ITP) Is or quality control plan (QCP) for the Works to the Employer’s team for review and approval before carrying out any works b. All documents shall be accepted by the Employers Team prior to any commencement of any works (Permanent or Temporary) c. All quality procedures and verification points as per the project quality requirements or specifications shall be adhered to d. All quality documents and records applicable to this Scope of Works shall be submitted for record keeping e. The Employer shall have the right to regularly conduct inspections, assessments, audits, and surveys and perform surveillance of the Supplier’s and/or Sub-Supplier facilities, sites, premises, records, and documentation (including but not limited to data books) to evaluate their capability to comply with the requirements necessary to conform to contractual and QMS requirements. f. The Employer reserves the right to inspect, at reasonable times, any or all of the services performed at the Supplier’s or Sub-Supplier’s premises or elsewhere. Verification by Eskom shall not absolve the Supplier of the responsibility to provide acceptable product and / or services, nor shall it preclude subsequent rejection by Eskom. g. The services must comply with the agreed specifications and requirements and the applicable directives and standards set out in the Contract. Defects notified by the Employer shall be remedied by the Supplier upon demand by the Employer without undue delay and at no extra cost. The Supplier shall continuously monitor and identify non-conformances, both internal and external, as signals of opportunities for improvement making process and other relevant changes to prevent recurrence. h. The Supplier shall further identify potential problems before they occur by identifying deviations in patterns or trends in product, service, or process performance. i. Nothing contained in the Contract and/or purchase order and/or scope of work and /or works information shall relieve in any way the Supplier from the obligation of Quality control thereof. j. The Supplier guarantees that the Quality of the delivered services will comply with the requirements of the contract and/or relevant specifications. k. The Supplier shall, on request, prove its ability to relate to the proposed scope of work which establishes the manner in which the Supplier intends to perform the Contract. l. The Supplier shall, on request, prove its organisational, logistics and support resources to ensure the requirements of the contract can and will be achieved. m. The Employer reserves the right to assess and measure, during the existence of the agreement the qualifications, capability, and competence of the key staff (assigned personnel) in relation to the scope of work and to interview any / all of them to confirm the Quality evaluation. n. On awarding of the Contract to the successful Supplier, such Supplier shall present to the Employer an acceptable Project Quality Plan (PQP). The PQP shall comply with the requirements of ISO 10005 The Contractor shall implement the requirements of the latest revision of the Medupi Quality Specification (348-389557) in its entirety, and have the following documented information as a National Aviation Authority minimum: • Quality Policy • Project Quality Plan • Project Organisation chart • Operational procedures and work instructions (“NAA”) (i.e. FAAe.g., EASAinspection and test plans, CAACmethod statements, control of nonconformity, corrective action, risk management, etc.); or 2) Is accredited by a recognized third (3rd) party certifying body for ISO 9101, AS9100, AS9110, AS 9120; or 3) Is accepted by CTS.
