Common use of Qualification of Units Clause in Contracts

Qualification of Units. The Partnership will arrange, if necessary, for the qualification of the Units for sale under the laws of such jurisdictions as the Representatives may reasonably designate and will maintain such qualifications in effect so long as reasonably required for the distribution of the Units; provided that in no event shall the Partnership be obligated to qualify to do business in any jurisdiction where it is not now so qualified or to take any action that would subject it to service of process in suits, other than those arising out of the offering or sale of the Units, in any jurisdiction where it is not now so subject. The Partnership will, from time to time, prepare and file such statements and reports as are or may be reasonably required of it to continue such qualifications in effect for so long a period as the Representatives may reasonably request for the distribution of the Units.

Qualification of Units. The Partnership Parties will arrange, if necessary, for cooperate with the qualification of Representatives in endeavoring to qualify the Units for sale under the securities laws of such jurisdictions as the Representatives may reasonably designate have designated in writing and will maintain make such qualifications in effect so long applications, file such documents, and furnish such information as may be reasonably required for the distribution of the Units; that purpose, provided that in no event shall the Partnership Parties shall not be obligated required to qualify to do business in any jurisdiction where it is not now so qualified or to take any action that would subject it file a general consent to service of process in suits, other than those arising out of the offering or sale of the Units, in any jurisdiction where it is not now so subjectqualified or required to file such a consent.
