Qualification of Rights. Neither this Agreement nor the existence of the Option shall be construed as giving the Participant any right (a) to be retained in the employ of the Company or any of its affiliates; or (b) as a shareholder with respect to the Shares until the certificates for the Shares have been issued and delivered to the Participant.

Neither this Award Agreement nor the existence of the Award shall be construed as giving the Employee any right (a) to be retained as an employee of the Company; or (b) as a shareholder with respect to the Shares of Stock earned pursuant to the Award until certificates for the Stock have been issued and delivered to the Employee or a book entry has been recorded in the name of the Employee with the Company’s transfer agent.

Qualification of Rights. All the provisions of this Article Six, including, without limitation, rights of acceleration, remedies and priority of payments, are subject to the terms and provisions of Articles Ten and Eleven hereof relating to the subordination of the Obligations on the Notes and the Guarantors' Obligations.
