Put Conditions. Any sale of Putable Loans pursuant to this Agreement on any Put Date is subject to the following conditions precedent being satisfied on or prior to such Put Date (and the Conduit and the Conduit Administrator, by accepting payment hereunder, shall be deemed to have certified that all such conditions are satisfied on such Put Date):
Put Conditions. Any exercise(s) of any Put Option No. 2, as provided under this Agreement, is and shall be subject to the following procedures and conditions:
Put Conditions. If the Closing is a Put Closing, the Put Conditions shall have been satisfied on the date of receipt of the Put Notice and on the date of the Closing.
Put Conditions. If POS and Shell enter into the Gas Swap Agreement and one of the following additional conditions (“Put Conditions”) is met,;
(a) Production from SPI-1113 has not commenced and, in the sole judgment of POS, is reasonably not expected to commence on or before December 15, 2006, and POS does not forecast having natural gas production net to its interest from SPI-1113 and other sources equal to or exceeding 125% of the monthly quantities contained in the Gas Swap Agreement; or
(b) Production from SPI-1113 has commenced and POS does not forecast having natural gas production net to its interest from SPI-1113 and other sources equal to or exceeding 125% of the monthly quantities contained in the Gas Swap Agreement; or
(c) POS and PEC agree in writing; then POS shall have the right but not the obligation to exercise the Put Right and PEC shall accept the rights and obligations of POS under the Gas Swap Agreement if POS exercises such right.
Put Conditions. Buyer's inspections of the Property as set forth in Section 2.1, above, shall be for the purpose of determining whether or not the Property meets the following conditions (the "Put Conditions").
Put Conditions. Each of the Put Conditions shall be true, or waived by Buyer in writing, as of the Closing Date.
