Purchaser's Conditions to Initial Closing. The obligation of Purchaser to purchase the Preferred Stock, as well as the binding nature of Purchaser's obligation to purchase Senior Subordinated Notes, is subject to the fulfillment or waiver of all of the following conditions prior to, or contemporaneously with, the closing of the purchase and sale of the Preferred Stock (the "Closing"); from and after the Closing, the obligation of Purchaser to purchase Senior Subordinated Notes is subject only to the conditions set forth in Section 3.2:
