Common use of Purchaser’s Assignment Clause in Contracts

Purchaser’s Assignment. Purchaser shall not assign this Agreement or its rights hereunder to any individual or entity without the prior written consent of Seller, which consent Seller may grant or withhold in its sole discretion, and any such unpermitted assignment not consented to by Seller shall be null and void. Notwithstanding the foregoing, Purchaser may assign its rights under this Agreement to an affiliate or subsidiary of Purchaser without the consent of Seller; provided, however, that no such assignment will relieve Purchaser of its obligations hereunder.

Purchaser’s Assignment. Purchaser shall not assign this Agreement (except as provided in Section 15.14 (b)), in whole or its rights hereunder to any individual in part, whether by operation of law or entity otherwise, without the prior written consent of Seller which such consent may be unreasonably withheld in Seller, which consent Seller may grant or withhold in its 's sole and absolute discretion, and any such unpermitted . Any purported assignment not consented contrary to by Seller the terms hereof shall be null null, void and void. Notwithstanding the foregoing, Purchaser may assign its rights under this Agreement to an affiliate or subsidiary of Purchaser without the consent of Seller; provided, however, that no such assignment will relieve Purchaser of its obligations hereunderforce and effect.
