Purchaser to Act as Agent for Seller Clause Samples

Purchaser to Act as Agent for Seller. This Agreement shall not constitute an agreement to assign any contract right included among the Assets if any attempted assignment of the same without the consent of the other party thereto would constitute a breach thereof or in any way adversely affect the rights of Seller thereunder. If such consent is not obtained or if any attempted assignment would be ineffective or would adversely affect Seller's rights thereunder so that Purchaser would not in fact receive all such rights, then Purchaser shall act as the agent for Seller in order to obtain for Purchaser the benefits thereunder. Nothing herein shall be deemed to make Purchaser Seller's agent in respect of the Excluded Assets.

Except as otherwise expressly provided herein, nothing herein shall be deemed to make Purchaser Seller's agent in respect of the Retained Assets.

Purchaser to Act as Agent for Seller. Nothing in this Agreement is intended to constitute an agreement to assign any asset, right or claim if such assignment, without the consent of another party, would be ineffective or would constitute a breach of an agreement relating thereto or otherwise adversely affect the value of such asset, right or claim such that Purchaser would not receive all of the value thereof. To the extent any such third party consent is required with respect to any asset, right or claim, then Seller shall provide to Purchaser the benefits thereunder, including without limitation, enforcement thereof for the benefit of Purchaser.

Purchaser to Act as Agent for Seller. This Agreement shall not constitute an agreement to assign any claim, contract, license, lease, commitment, sales order or purchase order if any attempted assignment of the same without the consent of the other party thereto would constitute a breach thereof or in any way affect the rights of Seller thereunder. If such consent is not obtained or if any attempted assignment would be ineffective or would affect Seller's rights thereunder so that the Purchaser would not in fact receive all such rights, then, subject to the terms and conditions of Section 6.4 hereof, the Purchaser shall act as the agent for Seller in order to obtain for the Purchaser the benefits thereunder. In the event that the Purchaser is unable to secure the consent of any lessor of a Purchased Leasehold Right to the assignment of such rights to the Purchaser, Purchaser shall return the related equipment in the same condition as of the date of Closing and thereafter Seller shall resume liability for all payments due and owing pursuant to such lease.
