Non-Solicitation by Voxware and Purchaser. In the event that the Closing does not occur, prior to January 5, 2000, neither Voxware nor Purchaser shall solicit business from Seller's current customers in competition with Seller or, directly or indirectly, solicit or offer employment to any person who is an employee of Seller or who has terminated such employment without the consent of Seller within 180 days of such solicitation or offer.
