Common use of Purchase and Sale of the Purchased Assets Clause in Contracts

Purchase and Sale of the Purchased Assets. Upon the terms and subject to the conditions of this Agreement, at the Closing, Seller shall sell, assign, transfer, convey and deliver to Buyer, and Buyer shall purchase, acquire and accept from Seller, free and clear of Liens except for Permitted Liens, the entire right, title and interest of Seller in only the following assets, properties and rights:

Upon Subject to the terms and subject to the conditions of this Agreement, at the Closing, Seller shall sell, assign, transferconvey, convey transfer and deliver to Buyer, Purchaser and Buyer Purchaser shall purchase, acquire and accept purchase from SellerSeller the Purchased Assets, free and clear of Liens except for Permitted all Liens, the entire rightclaims, title options, charges, encumbrances and interest restrictions of Seller in only the following assetsany kind, properties and rights:other than those Liens set forth on Schedule 3.5 hereto.
