Common use of Publicity and Disclosures Clause in Contracts

Publicity and Disclosures. No press releases or any public disclosure, either written or oral, of the transactions contemplated by this Agreement shall be made without the mutual consent of the parties, except as required by law. Seller and Shareholder acknowledge Buyer’s obligations to report under the Exchange Act with respect to the subject matter of this Agreement.

No press releases or any public disclosure, either written or oral, of the transactions contemplated by this Agreement shall be made without the mutual consent of the partiesAgreement, except as required by law. Seller and Shareholder acknowledge Buyer’s obligations to report under the Exchange Act with respect to the subject matter of this Agreement, shall be made by either party without the prior knowledge and written consent of the other party, except as otherwise required by applicable law, such consent not to be unreasonably withheld. Buyer acknowledges that Seller is required to publicly disclose this transaction within a reasonable time after Closing.

Seller and Shareholder acknowledge Buyer’s obligations to report under the Exchange Act with respect to the subject matter of this AgreementSeller.
