Common use of Public Disclosures Clause in Contracts

Public Disclosures. The Company shall not, nor shall it permit any Subsidiary to, disclose any Investor’s name or identity as an investor in the Company in any press release or other public announcement or in any document or material filed with any governmental entity (other than tax filings in the ordinary course), without the prior written consent of such Investor, unless such disclosure is required by applicable law or governmental regulations or by order of a court of competent jurisdiction, in which case prior to making such disclosure the Company shall give written notice to such Investor describing in reasonable detail the proposed content of such disclosure and shall permit such Investor to review and comment upon the form and substance of such disclosure.

Public Disclosures. Nothing herein, however, shall prohibit the Company from disclosing or marketing the Purchasers' investment under this Agreement.

The Company shall not, nor shall it permit any Subsidiary to, disclose the LLC's, or any Investor’s holder of Frontenac Equity's name or identity as an investor in the Company or the LLC in any press release or other public announcement or in any document or material filed with any governmental entity (other than tax filings in the ordinary course)entity, without the prior written consent of such InvestorPerson, unless such disclosure is required by applicable law or governmental regulations or by order of a court of competent jurisdiction, in which case prior to making such disclosure the Company shall give written notice to such Investor Person describing in reasonable detail the proposed content of such disclosure and shall permit such Investor Person to review and comment upon the form and substance of such disclosure.

Public Disclosures. The Unless approved by the Board, the Company shall not, nor shall it permit any Subsidiary of its Subsidiaries to, disclose any Investor’s Shareholder's name or identity as an investor in the Company or any material information related to this Agreement in any press release or other public announcement or in any document or material filed with any governmental entity (other than tax filings in the ordinary course)entity, without the prior written consent of such InvestorShareholder, unless such disclosure is required by applicable law or governmental regulations or by order of a court of competent jurisdiction, in which case prior to making such disclosure the Company shall give written notice to such Investor Shareholder describing in reasonable detail the proposed content of such disclosure and shall permit such Investor Shareholder to review and comment upon the form and substance of such disclosure.

The Company Corporation shall not, nor shall it permit any Subsidiary to, disclose the LLC's or any Investor’s holder of Investor Equity's name or identity as an investor in the Company Corporation or the LLC in any press release or other public announcement or in any document or material filed with any governmental entity (other than tax filings in the ordinary course)entity, without the prior written consent of such InvestorPerson, unless such disclosure is required by applicable law or governmental regulations or by order of a court of competent jurisdiction, in which case prior to making such disclosure the Company Corporation shall give written notice to such Investor Person describing in reasonable detail the proposed content of such disclosure and shall permit such Investor Person to review and comment upon the form and substance of such disclosure.

The Company shall not, nor shall it permit any Subsidiary to, disclose Purchaser's or any Investor’s name of its Affiliates' names or identity identities as an investor in the Company in any press release or other public announcement or in any document or material filed with any governmental entity (other than tax filings in the ordinary course)entity, without the prior written consent of such InvestorPurchaser, unless such disclosure is required by applicable law or governmental regulations or by order of a court of competent jurisdiction, in which case prior to making such disclosure the Company shall use reasonable efforts to give written notice to such Investor Purchaser describing in reasonable detail the proposed content of such disclosure and shall permit such Investor Purchaser to review and comment upon the form and substance of such disclosure.

Public Disclosures.
