Common use of Public Disclosures Clause in Contracts

Public Disclosures. The Company shall not, nor shall it permit any Subsidiary to, disclose any Investor’s name or identity as an investor in the Company in any press release or other public announcement or in any document or material filed with any governmental entity (other than tax filings in the ordinary course), without the prior written consent of such Investor, unless such disclosure is required by applicable law or governmental regulations or by order of a court of competent jurisdiction, in which case prior to making such disclosure the Company shall give written notice to such Investor describing in reasonable detail the proposed content of such disclosure and shall permit such Investor to review and comment upon the form and substance of such disclosure.

Public Disclosures. The Company shall not, nor shall it permit any Subsidiary to, disclose any Investor’s Purchaser's or any of its Affiliates' name or identity as an investor in the Company in any press release or other public announcement or in any document or material filed with any governmental entity (other than tax filings in the ordinary course)entity, without the prior written consent of such InvestorPurchaser, unless such disclosure is required by applicable law or governmental regulations or by order of a court of competent jurisdiction, in which case prior to making such disclosure the Company shall give written notice to such Investor Purchaser describing in reasonable detail the proposed content of such disclosure and shall permit such Investor Purchaser to review and comment upon the form and substance of such disclosure.

Nothing herein, however, shall prohibit the Company from disclosing or marketing the Purchasers' investment under this Agreement.

The Company shall not, nor shall it permit any Subsidiary to, disclose the LLC's, or any Investor’s holder of Frontenac Equity's name or identity as an investor in the Company or the LLC in any press release or other public announcement or in any document or material filed with any governmental entity (other than tax filings in the ordinary course)entity, without the prior written consent of such InvestorPerson, unless such disclosure is required by applicable law or governmental regulations or by order of a court of competent jurisdiction, in which case prior to making such disclosure the Company shall give written notice to such Investor Person describing in reasonable detail the proposed content of such disclosure and shall permit such Investor Person to review and comment upon the form and substance of such disclosure.

Public Disclosures. The None of Holdings, the Company or any Subsidiary of the Company shall not, nor shall it permit any Subsidiary to, disclose any Investor’s the name or identity of any Purchaser or any Noteholder as an investor in the Company in any press release or other public announcement or in any document or material filed with any governmental entity (other than tax filings in the ordinary course), without the prior written consent of such Investorentity, unless such disclosure is required by applicable law or governmental regulations Applicable Law or by order of a court of competent jurisdiction, in which case case, to the extent practicable, prior to making such disclosure the Company shall give written notice to such Investor Purchaser or Noteholder, as the case may be, describing in reasonable detail the proposed content of such disclosure and shall permit such Investor Purchaser or Noteholder, as the case may be, to review and comment upon the form and substance of such disclosure.
