Protection of. a Step-in Party (a) any conduct, delay, negligence or breach of duty in the exercise or non- exercise of a Power; nor (b) for any loss (including consequential loss) which results, except where it arises from fraud, wilful default or gross negligence on the part of the Step-in Party.
