Protection of Vendor’s Confidential Information. Section 627.351(6)(x)1.e., Florida Statutes, provides that proprietary information licensed to Citizens under a contract providing for the confidentiality of such information is confidential and exempt from the disclosure requirements of Florida’s Public Records Law. Other Florida Statutes allow for various protection of vendor’s trade secrets and financial information. In order to protect any information provided to Citizens that vendor considers to be protected from disclosure under Florida law (“Vendors Confidential Information”) Vendor should clearly label and mark each page or section containing such information as “Confidential”, “Trade Secret” or other similar designation.
Protection of Vendor’s Confidential Information. Citizens represents to Vendor the following: (a) Section 627.351(6)(x)1.e., Florida Statutes, provides that proprietary information licensed to Citizens under a contract providing for the confidentiality of such information is confidential and exempt from the disclosure requirements of Florida’s Public Records Law; (b) Section 815.045, Florida Statutes, provides additional protections of Vendor’s trade secret information and an exemption from the disclosure requirements of Florida Public Records Law; and (c) other Florida Statutes allow for various protection of vendor’s trade secrets and financial information. In order to protect any information provided to Citizens that Vendor considers to be protected from disclosure under Florida law (“Vendors Confidential Information”), Vendor should clearly label and mark each page or section containing such information as “Confidential”, “Trade Secret” or other similar designation, provided any technical information that Vendor shares with Citizens regarding Vendor’s proprietary technology (such as any software or source code associated therein) should be afforded confidential treatment irrespective whether labeled or marked.
