Protected Works. The term “Protected Works” as used in this Agreement means any and all original work or writing, ideas, inventions, formulas, techniques, processes, concepts, systems, programs, software, hardware systems, schematics, flow charts, computer data bases, customer lists, trademarks, service marks, brand names, trade names, compilations, documents, data, notes, designs, drawings, technical data and/or training materials, including improvements thereto or derivatives therefrom, whether or not patentable, or subject to copyright or trademark or trade secret protection, developed and produced by the Consultant as a part of the Services pursuant to this Agreement and used or intended for use by or on behalf of Prudential or Prudential’s clients. Such Protected Works shall be considered A WORK MADE FOR HIRE, as defined by ▇▇▇▇▇ ▇▇, ▇▇▇▇▇▇ ▇▇▇▇▇▇ Code, Section 101(2).
