Proprietary Solution Clause Samples

Proprietary Solution. MES hereby acknowledges and agrees that the proprietary solution inside the SLM cartridge must be changed periodically for the Equipment and Intellectual Property to meet Commodore's performance warranties. Commodore shall be exclusively responsible for changing the solution in the SLM cartridge on a regular basis so that the Equipment and Intellectual Property fully meets or exceeds, at all times, the performance warranties set forth in Section 5.2 of this Agreement. MES shall pay the sum of $1,890.00 per gallon for each gallon of solution placed in the Equipment, not to exceed $19,375.00 per calendar year.

Proprietary Solution. Buyer acknowledges that the Licensed Products and any associated Documentation, data, and methodologies used in providing Services are proprietary to MSI or its third party licensors and contain valuable trade secrets. In accordance with these Supplier Terms, Buyer and its employees shall treat the Solution and all Proprietary Rights as Confidential Information and will maintain the strictest confidence.

MES shall pay the sum of One Thousand Eight Hundred Ninety Dollars ($1,890.00) per gallon for each gallon of solution placed in the Equipment, not to exceed Thirty Eight Thousand Seven Hundred Fifty Dollars ($38,750.00) per calendar year.
