Each employee, consultant and officer of the Company and each of its Subsidiaries and any other Person developing intellectual property on behalf of the Company or any of its Subsidiaries has executed an agreement with the Company or such Subsidiary regarding confidentiality and proprietary information substantially in the form or forms delivered to the Purchasers. Neither the Company nor any of its Subsidiaries is aware that any of its employees or consultants is in violation thereof.
