Promptly upon receipt by the Issuer of a demand therefore supported by reasonable evidence thereof, the Issuer shall indemnify the Settlement Agent against any loss, liability, cost, claim, action, demand or expense (including, without limitation, legal fees and any applicable value added tax) which it may properly incur or which may be made against it as a result of or in connection with its appointment or the exercise of its functions under this Agreement except such as may result from the breach by it of the terms of this Agreement or from its own wilful default or gross negligence, or that of its officers or employees.
