Common use of Prompt Notification Clause in Contracts

Prompt Notification. Each party to this Agreement agrees to (a) promptly inform the other in writing of any information related to the CYL Network which could reasonably lead to a claim, demand or liability against Change Your Life or the ▇▇▇▇▇▇▇ Group by any third party; PROVIDED, HOWEVER, that failure to give prompt notice will not relieve either party of any liability hereunder (except to the extent such failure causes or leads to actual material prejudice to the other party); and (b) cooperate fully with the other Party, at that other Party's expense, in defending or settling such claim.
