Promising Sellers’ Obligation to Indemnify. The Promising Sellers, jointly and severally, agree to indemnify the Promising Buyer, from and against: (i) any Loss (including but not limited to Loss suffered by the Company) arising from not being true and complete in all material respects any representation made by the Promising Sellers in this Agreement; and (ii) any Loss (including but not limited to Loss suffered by the Company) arising from any breach of any of their covenants, agreements or warranties made by the Promising Sellers in this Agreement. The Promising Sellers’ obligation to indemnify shall be subject to the following rules:
